Shipping and Payment Terms (B2B – Online Shop)

  1. Scope: These shipping and payment terms apply to all orders placed via our online shop. Our offer is directed exclusively at businesses within the meaning of applicable legal provisions. Sales to consumers are excluded.

  2. Conclusion of Contract (Online Shop): The presentation of products in the online shop does not constitute a legally binding offer, but a non-binding invitation to place an order. By clicking the “Buy now” button, the customer submits a binding offer. The automatic order confirmation (sent via email through the shop system) does not constitute acceptance of the contract. The contract is only concluded through a separate order confirmation or dispatch of the goods.

  3. Delivery and Availability: Delivery is made to the business address provided by the customer during the ordering process. Delivery times: Medical devices (hardware): [3–7] working days. Consumables: [3–7] working days. If a product is not available at the time of order, the customer will be informed without undue delay. Partial deliveries are permitted where reasonable for the customer.

  4. Shipping and Transfer of Risk: Shipping is carried out via logistics providers selected by us. The risk transfers to the customer upon handover of the goods to the shipping company (B2B).

  5. Shipping Costs: Shipping costs are clearly indicated in the shopping cart and during the ordering process. Shipping costs may vary depending on the delivery country and shipping method.

  6. Payment Terms: The following payment methods are available in our online shop: Credit card, PayPal, Sofortüberweisung / Klarna, Prepayment. Payment processing is carried out via the payment service providers integrated into the shop. The invoice amount is due immediately for online payments and within [14] days net for purchase on account (if offered). We reserve the right to offer certain payment methods only after a credit check.

  7. Retention of Title: The goods remain our property until full payment has been received. Resale in the ordinary course of business is permitted. Claims arising from resale are assigned to us up to the amount of the invoice.

  8. Inspection and Notification of Defects: The customer is obliged to inspect the goods immediately upon receipt. Obvious defects must be reported within 5 working days. Hidden defects must be reported immediately upon discovery. Notification must be made in writing via email.

  9. Warranty: The warranty period is 24 months from delivery. Remedy shall be provided at our discretion by repair or replacement delivery. For used devices, the warranty may be excluded or reduced.

  10. Product-Specific Information (Veterinary Medical Technology): Our products are intended exclusively for professional use. The customer is obliged to comply with applicable legal regulations and ensure that products are used only by qualified personnel.

  11. No Right of Withdrawal: There is no right of withdrawal, as contracts are concluded exclusively with businesses.

  12. Invoicing: Invoices are issued automatically via email after order placement or dispatch through the shop system.

  13. Technical Aspects of the Online Shop: The customer is obliged to provide correct company details when placing an order. We reserve the right to cancel or reject orders if there is suspicion that the customer is not a business or if incomplete or incorrect information has been provided.

  14. Final Provisions: The law of the Republic of Austria shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is – where legally permissible – the registered office of our company.

  15. Applicability of General Terms and Conditions (GTC): Our General Terms and Conditions (GTC) apply to all business relationships, including orders placed outside the online shop (e.g. via telephone, email, or through sales representatives). In the event of conflicts, the GTC shall prevail unless expressly agreed otherwise.

  16. Severability Clause: If any provision of these terms is or becomes invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the economic purpose of the original provision.
